CATERING SERVICE AGREEMENT

This Catering Service Agreement ("Agreement") is made and entered into as of the date of the accepted invoice ("Effective Date") by and between:

  • Chef Eric James, d/b/a Culinary Misfits ("Caterer"), located in Las Vegas, Nevada.

and

  • Client ("Client"), whose information is provided on the accepted invoice associated with this Agreement.

The specific event details (date, location, guest count, menu selections, and services) are outlined in the accepted invoice, which is incorporated herein by reference.

1. Services

The Caterer agrees to provide catering services as specified in the accepted invoice. This Agreement covers the following services:

  • Event Type: As described in the invoice (e.g., Plated, Family Style, Small Bites/Soirée).

  • Event Details: The details listed in the accepted invoice, including the event location, guest count, and service type, shall govern this Agreement.

  • Menu: The agreed-upon menu is outlined in the accepted invoice.

2. Payment Terms

The following payment terms apply as per the accepted invoice:

a. Service Fee: The service fee is detailed in the accepted invoice, which includes per-person rates plus a 20% service fee.

b. Deposit: A non-refundable deposit of 50% of the estimated total (as stated on the invoice) is due at the time of booking to secure the event date. Payment of the deposit constitutes acceptance of this Agreement and all terms outlined herein.

c. Final Payment: The remaining balance, as specified in the invoice, is due 7 days prior to the event. If the balance is not received by this date, the Caterer reserves the right to cancel services.

d. Additional Charges: Any additional charges, such as extra rentals, staffing, or additional food, will be billed as agreed upon and will be reflected in the final invoice.

3. Cancellation Policy

a. Client Cancellation: If the Client cancels the event:

  • 30 days or more before the event date: 50% refund of the total, minus the deposit.

  • 15-29 days before the event date: 25% refund of the total, minus the deposit.

  • Less than 15 days: No refund will be issued.

b. Caterer Cancellation: If the Caterer cancels for any reason, all payments will be refunded to the Client. The Caterer may assist in finding a replacement caterer but is not obligated to arrange alternate services.

4. Event Changes

Any changes to the event details or guest count must be communicated and agreed upon in writing at least 14 days before the event. Additional fees may apply for last-minute changes.

5. Health & Safety

The Caterer will comply with all applicable Nevada food handling and safety regulations, including the Clark County Health District requirements.

6. Alcohol Service

If alcohol is to be served at the event:

  • The Caterer is not responsible for securing alcohol permits unless specifically requested.

  • The Client must ensure compliance with all Nevada and Clark County laws regarding alcohol service.

7. Indemnification and Liability

a. Caterer’s Liability: The Caterer shall not be liable for any loss, damage, or injury resulting from factors beyond their control, such as equipment malfunction, food allergies, adverse weather, or acts of nature.

b. Client’s Responsibility: The Client assumes responsibility for any damage or loss to the Caterer’s property, equipment, or supplies caused by guests or event participants.

c. Indemnification: The Client agrees to indemnify and hold the Caterer harmless from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising out of the Client’s actions or negligence during the event.

8. Force Majeure

Neither party shall be held liable for delays or failures to perform due to circumstances beyond their control, such as natural disasters, government restrictions, or other emergencies. In such situations, the Caterer will work with the Client to reschedule the event.

9. Governing Law

This Agreement is governed by Nevada law, and any disputes will be resolved in a court of competent jurisdiction located in Clark County, Nevada.

10. Entire Agreement

This Agreement, including the accepted invoice, constitutes the entire agreement between the parties. Any amendments or changes must be made in writing and agreed upon by both parties.

11. Table Settings and Service Platters

Culinary Misfits is not responsible for setting the guest table or providing table settings for the event unless otherwise arranged. The following terms apply:

  • Table Settings: Culinary Misfits does not provide table settings (such as plates, flatware, napkins, or decor) as part of the standard service. However, upon request and for an additional fee, Culinary Misfits can provide table settings (excluding glassware). Any requests for table settings should be made no later than 14 days prior to the event.

  • Service Platters for Family Style Service: For family-style service, Culinary Misfits will provide appropriate serving platters upon request.

12. Media Rights

Culinary Misfits reserves the right to capture photos and video footage of the event and its entirety, which may be used for social media, promotional purposes, and YouTube content. If the Client wishes to restrict this, they must request such restrictions in writing prior to the event date.

Digital Acceptance Through Deposit Payment

By paying the deposit as outlined in the accepted invoice, the Client agrees to all terms and conditions stated in this Catering Service Agreement, including any details specified in the accepted invoice. The deposit payment serves as the Client’s digital signature and confirms acceptance of this Agreement. No further physical or electronic signature is required.
